Modern Slavery and Human Trafficking Statement

This Modern Slavery and Human Trafficking Statement (the “Statement”) is made pursuant to the UK Modern Slavery Act 2015, the California Transparency in Supply Chains Act (2010), and the Australia Modern Slavery Act 2018 (Cth), and sets out the steps taken by LogicGate, Inc. and its subsidiaries (together, “LogicGate” or the “Company”) to prevent modern slavery and human trafficking in its business operations and supply chains.

Our Business and Organisational Structure

LogicGate is a technology company that provides governance, risk, and compliance (GRC) software solutions to customers globally. LogicGate operates primarily in the technology and professional services sector and maintains offices and operations in multiple jurisdictions, including the United States and the United Kingdom.

LogicGate’s supply chains primarily consist of professional services providers, technology vendors, cloud infrastructure providers, and other business service partners. Due to the nature of LogicGate’s business, the Company considers the overall risk of modern slavery within its operations and supply chains to be relatively low; however, LogicGate recognises that modern slavery risks can exist in all industries and geographies.

Policies and Governance

LogicGate maintains a Human Rights Policy that reflects its commitment to acting ethically and with integrity in all business relationships and to preventing modern slavery, forced labor, child labor, and human trafficking in its operations and supply chains. This policy applies to all LogicGate employees, executives, contractors, agents, vendors, and other third parties who have access to LogicGate data, systems, or assets.

LogicGate’s Code of Business Conduct and Ethics, together with its Human Rights Policy and related internal policies, set expectations for lawful and ethical behavior and prohibit any form of modern slavery or human trafficking.

Due Diligence and Risk Management

LogicGate takes a risk-based approach to identifying and mitigating modern slavery risks. This includes:

• Conducting due diligence on suppliers and business partners where appropriate, including during onboarding;
• Assessing supplier risk based on factors such as geography, services provided, and nature of the engagement;
• Including contractual provisions that prohibit forced labor, child labor, and human trafficking, where appropriate;
• Reserving the right to terminate relationships with suppliers or partners that fail to meet LogicGate’s standards.

Supply Chain Risk Assessment

LogicGate’s supply chain exposure is primarily limited to low-risk categories, such as software, cloud services, and professional services. LogicGate does not typically engage suppliers in high-risk industries such as manufacturing, construction, or extractive industries.

Where risks are identified or where enhanced diligence is warranted, LogicGate may take additional steps to assess and address potential modern slavery risks.

Training and Awareness

LogicGate provides training to its employees on ethical business practices, including human rights and modern slavery risks, as appropriate to their role. Training forms part of the onboarding process and is supplemented periodically to reinforce awareness and compliance.

LogicGate encourages employees and other stakeholders to report any concerns related to unethical conduct, including potential modern slavery or human trafficking, without fear of retaliation.

Reporting and Whistleblowing

LogicGate maintains reporting mechanisms that allow employees and other parties to raise concerns confidentially and without retaliation. Reports may be made to LogicGate’s Legal Team or through other designated internal reporting channels.

LogicGate investigates all credible reports of suspected misconduct and takes appropriate corrective action where violations are identified.

Effectiveness and Continuous Improvement

LogicGate continually reviews and enhances its policies, procedures, and controls to ensure their effectiveness in preventing modern slavery and human trafficking. The Company recognises that combating modern slavery is an ongoing process and is committed to continuous improvement. This Statement will be reviewed and updated annually and will be made publicly available in accordance with applicable legal requirements.
